Regulators have capped leverage and restricted how brokers market CFDs. They also require risk warnings that state the share of retail accounts losing money. In addition, they have banned the bonuses and other incentives brokers used to encourage trading. Now they are scrutinizing the business model itself. Under that model, a broker that internalizes client trades earns money when its clients lose.

Over the last decade, neobanks and neobrokers have become major players in European retail finance. They are converging on an “everything app” model. These apps offer current accounts, payments, cards, and savings accounts alongside stocks, ETFs, bonds, and crypto.

This article covers where CFD regulation in Europe stands and where EU policy is steering retail savings. It then looks at how neobanks and neobrokers are positioned and what CFD brokers need to compete in listed markets.

CFD regulation in Europe in 2026

Some firms have started marketing leveraged derivatives as perpetual futures or perpetual contracts. Most CFDs have no fixed expiry, so the label matches how the product works, and crypto exchanges used the same structure, the perpetual contract or “perp,” to expand beyond spot trading.

Both differ from the perpetual-style futures that CFTC-regulated US exchanges now list. Those contracts trade on an exchange and clear through a regulated central counterparty, which neither CFDs nor offshore crypto perps do. We covered the differences in our article on US perpetual futures.

On February 24, 2026, the European Securities and Markets Authority (ESMA) published a public statement reminding firms that a derivative meeting the CFD definition falls under the national CFD product intervention measures, whatever its commercial name. The statement sets out the test. A derivative that gives exposure to an underlying and is not exclusively settled physically would likely fall within scope, unless it belongs to a category the CFD definition excludes: options, futures, swaps, and forward rate agreements. Whether the product trades on a venue does not change the assessment.

That exclusion keeps the exchange-traded futures and options that brokers are moving into outside the CFD rules. Those products carry their own obligations. ESMA reminds firms that product governance and appropriateness rules apply to all derivatives, and retail distribution of a derivative requires a PRIIPs key information document.

National restrictions

Several national regulators have added restrictions of their own. Belgium has banned the distribution of leveraged CFDs to retail clients through electronic trading platforms since 2016. Spain has banned CFD advertising aimed at retail investors since 2023, citing its finding that 70% to 90% of retail CFD investors lose money.

Poland’s regulator has turned to enforcement. On March 30, 2026, the Polish Financial Supervision Authority (KNF) fined a Polish CFD broker PLN 20 million (about $5.5 million) for failing to assess whether clients had the knowledge and experience to trade CFDs and for giving them misleading information about CFD risks. The KNF upheld the fine in September and has said its wider review of how CFDs are offered remains open.

Why CFD brokers are moving to listed markets

Brokers are responding. A 2025 study by Acuiti, commissioned by CME Group and based on surveys and interviews with 41 European retail brokers and neobanks, found that 89% of firms offering CFDs ranked regulatory concerns among their top challenges. Of those firms, 62% said they were very concerned about future rules restricting retail access to CFDs. Among respondents not yet offering futures and options, 79% were planning or considering an offering, and about a fifth planned to launch soon.

Moving into listed markets reduces a broker’s exposure to the next round of CFD restrictions, which could cut profitability with little warning. Exchange-traded, centrally cleared instruments also remove the broker as its clients’ counterparty and price trades on a public order book, which addresses the conflict of interest regulators see in the CFD model.

For a CFD broker, the move to central order books changes the business model. Revenue shifts from spread markups and internalized client flow, which swing with market volatility, to commissions and fees, which are lower but steadier because they track trading volume. We set out the wider business case for this move on the DXtrade blog.

The Savings and Investments Union (SIU)

Retail savings are the target of a separate EU policy. The European Commission launched the Savings and Investments Union on March 19, 2025. It builds on the Capital Markets Union action plans and the banking union, and it aims to channel household savings into productive investment across a more integrated EU financial system.

The SIU has four strands: citizens and savings, which aims to give retail investors better investment options; investment and financing, which aims to widen EU companies’ access to capital; integration and scale, which targets fragmentation across EU capital markets; and efficient supervision in the single market, which aims to give every market participant the same supervisory treatment regardless of location.

On September 30, 2025, the Commission published a non-binding recommendation asking member states to introduce savings and investment accounts (SIAs) or align existing schemes with its blueprint. SIAs let retail investors hold capital market instruments in an account with tax incentives and simplified tax procedures.

Neobanks and neobrokers

Neobrokers and neobanks already attract retail investors looking for a return on their savings, and EU policy now works in their favor on two fronts: CFD restrictions keep tightening on their competitors, and the SIU aims to move deposits into capital markets.

Neobanks already hold their clients’ deposits, which makes them the lowest-friction destination for the capital the SIU aims to mobilize. Their clients can receive salaries, pay bills, spend by card, and invest surplus cash in the same app. Neobrokers already have the exchange connectivity and the clearing and settlement relationships to offer exchange-traded securities under MiFID II.

The two business types are converging. In January 2024, a German neobank began rolling out stock and ETF trading, starting in Austria, and extended it to 12 more European markets that October. A German neobroker went the other way and received a full banking license from the European Central Bank in December 2023. With banking and investment under one EU strategy, these firms are the likeliest destination for much of that capital.

What CFD brokers lack and how they can compete

Smaller CFD brokers face a threat to their core business model without the infrastructure to offer exchange-traded futures and options. They also lack the banking licenses and the deposit base that neobanks bring to the SIU. A CFD broker has to keep paying for marketing to win each new deposit, while a neobank or neobroker only has to offer its existing clients a place to invest cash they already hold there.

CFD brokers do hold advantages in two areas: multi-asset depth backed by years of risk management experience, and platforms built for active traders rather than passive savers. Listed futures and options suit that client base. Entering listed markets, though, requires components most CFD brokers do not have today. Beyond client platforms with the instrument-specific tools listed-market traders expect, such as depth-of-market ladders and option chains, these include clearing relationships, exchange market data licenses, corporate actions processing, margin calculated under exchange rules with the broker’s own house rules on top, and position and transaction reporting for listed products.

Clearing has become easier to arrange. According to the same study, several European clearing members now let a retail broker run client sub-accounts under one clearing account while the clearer handles exchange connectivity and clearinghouse margin calls.

Brokers can close these gaps in two ways. A broker with the capital can acquire a firm that already has an exchange-traded client base and the licenses to serve it. A smaller broker can build in stages, starting as an introducing broker to a clearing firm and moving to its own platform and clearing relationship as listed volumes grow.

How DXtrade supports the move to listed markets

DXtrade connects brokers worldwide to US-listed options and to futures from CME, the exchange the surveyed brokers used most for futures and options. You can add these products as a new business line or offer them through a separate subsidiary.

DXtrade covers the platform side of the requirements above:

Market data from dxFeed, including calculated options Greeks

Real-time margin calculation: Reg T and options margin for US options, CME SPAN for futures and futures options

Pre-trade margin validation, plus post-trade monitoring with automatic liquidation at broker-defined levels

A futures ladder for depth-of-market trading and option chains that support multi-leg spreads

The clearing relationship stays with the broker. DXtrade integrates with futures commission merchants and broker-dealers. Devexperts makes APIs available for further integrations, such as CRM and back-office connections, on request.

To discuss offering US-listed options and CME futures to your clients, contact our team.

FAQ

What is a CFD under EU product intervention measures?

Under the definition ESMA set in its 2018 intervention, which national regulators have since adopted, a CFD is a derivative other than an option, future, swap, or forward rate agreement that gives the holder long or short exposure to the price of an underlying and is settled in cash, or may be at one party’s option. ESMA’s February 2026 statement adds that a derivative not exclusively settled physically would likely fall in scope unless it belongs to one of the excluded categories.

Do perpetual futures count as CFDs in the EU?

Likely, according to ESMA. Its February 2026 statement says derivatives marketed as perpetual futures or perpetual contracts are likely to fall within national CFD product intervention measures and that firms must assess each product on its characteristics, not its name. Where a product meets the CFD definition, leverage limits, a mandatory risk warning, margin close-out, negative balance protection, and the ban on incentives apply.

What does a CFD broker need in order to offer exchange-traded futures and options?

A relationship with a clearing member, exchange connectivity, exchange market data licenses, margin calculated under exchange rules (such as SPAN for futures and futures options), corporate actions processing for equity options, position and transaction reporting, and access to a PRIIPs key information document for each product offered to retail clients. Most brokers also need an order management system and a client platform with instrument-specific tools.

How long does it take to add listed products to an existing brokerage?

Platform deployment and market onboarding run separately. DXtrade SaaS can go live within weeks, while individual assets depend on the broker’s clearing relationships and regulatory approval.

Which listed markets can brokers outside the US offer through DXtrade?

DXtrade connects brokers worldwide to US-listed options, to futures, and options futures from CME, with market data from dxFeed and margin calculated under Reg T and CME SPAN for futures.

What is the Savings and Investments Union?

The Savings and Investments Union is the European Commission’s strategy, launched on March 19, 2025, to channel household savings into productive investment and integrate EU capital markets and banking. It covers four strands: citizens and savings, investment and financing, integration and scale, and efficient supervision in the single market.
